1. Subject Matter
1.1 ISOCALCX (hereinafter "Provider"), operated by Alban Selimi, sole proprietorship, Wiesentalstrasse 28, 8355 Aadorf, Switzerland, provides a cloud-based Software-as-a-Service (SaaS) platform for the AI-powered analysis and calculation of insulation projects in the HVAC sector (heating, ventilation, air conditioning, sanitary). These Terms apply exclusively to contracts between ISOCALCX and entrepreneurs (B2B). Consumer protection provisions apply only to the extent that they are mandatory by law.
1.2 The platform enables in particular:
- Automated analysis of specification documents (PDF) using artificial intelligence
- Extraction and structuring of insulation positions
- Price calculation based on stored catalog data
- Creation of professional quotations
- Management of projects and price lists
1.3 These Terms of Service govern the relationship between the Provider and the customer (hereinafter "Customer") when using the platform.
2. Service Provision
2.1 The Provider makes the platform available as a SaaS solution via the internet. Access is provided through a standard web browser.
2.2 The Provider strives for a platform availability of 99% on an annual average. Scheduled maintenance windows, which will be announced in advance where possible, are not included.
2.3 The Provider is entitled to further develop and improve the platform. Material changes to the scope of services will be communicated to the Customer in a timely manner.
2.4 The Provider reserves the right to temporarily restrict the platform for maintenance purposes, provided this is necessary taking into account the legitimate interests of the Customer.
3. Customer Obligations
3.1 The Customer undertakes to provide truthful and complete information during registration and to keep this information up to date.
3.2 The Customer is responsible for keeping their access credentials confidential and protecting them from third-party access. In the event of suspected unauthorized use, the Provider must be notified immediately.
3.3 The Customer ensures that the documents uploaded do not infringe any third-party rights and that they are authorized to process the data contained therein.
3.4 The Customer may not misuse the platform, in particular:
- Attempting to circumvent security mechanisms
- Using the platform for unlawful purposes
- Deploying automated access (bots, scrapers)
- Loading the platform beyond the contractually agreed extent
3.5 The Customer warrants that they (i) are entitled to transmit the uploaded specification documents and other documents to the Provider, and (ii) have fulfilled all required data protection information obligations vis-a-vis the natural persons named in the documents (in particular client, architect, specialist planner) in accordance with the revFADP. The Customer indemnifies the Provider against any third-party claims (in particular by authors and principals) arising from the transmission, storage or processing of the documents, insofar as such claims are not based on fault of the Provider.
4. Compensation
4.1 Use of the platform is subject to the applicable subscription plans. The current prices are:
All prices are in Swiss Francs (CHF). Current terms and conditions are available on the platform.
4.2 ISOCALCX offers new customers a 3-day free trial with up to 2 analyses per day without requiring payment information. After the trial period, a subscription is required for continued use.
4.3 The stated prices are final prices in Swiss francs. No value-added tax is charged or shown.
4.4 The payment term is 30 days from the invoice date unless otherwise agreed.
4.5 In the event of late payment, the Provider is entitled to temporarily suspend access to the platform after issuing a reminder.
4.6 The Provider reserves the right to adjust prices with 30 days' prior notice. In this case, the Customer has an extraordinary right of termination effective at the date of the price change.
5. Usage Rights
5.1 The Provider grants the Customer a simple, non-transferable and non-sublicensable right to use the platform for the duration of the contractual relationship within the scope of the contractual provisions.
5.2 All rights to the platform, including software, algorithms, AI models, designs and trademarks, remain with the Provider.
5.3 The data uploaded by the Customer and the results generated therefrom (positions, calculations, quotations) remain the property of the Customer.
5.4 The Customer grants the Provider the right to process their data to the extent necessary for the provision of the service.
6. Confidentiality and Data Protection
6.1 Both parties undertake to keep confidential information of the other party secret and not to disclose it to third parties.
6.2 The Provider processes personal data in accordance with the provisions of the Swiss Federal Act on Data Protection (DSG). Details on data processing can be found in our Privacy Policy.
6.3 Customer project data is not used for training AI models and is not shared with other customers.
6.4 The duty of confidentiality continues to apply after termination of the contractual relationship.
6.5 For the AI evaluation of uploaded tenders/bills of quantities (PDF analysis), the Provider uses the Claude Sonnet 5.5 language model of Anthropic PBC via the Anthropic API; for this purpose, the content to be analysed is transmitted in encrypted form to Anthropic in the USA, on the basis of the Standard Contractual Clauses (SCC) or a recognised adequacy framework. For the chat/support assistant, photo evaluation (take-off) and price list import, the Provider uses AWS Bedrock (EU Frankfurt, failover region Ireland); this content is transmitted in encrypted form to AWS servers in the EU, and if the Frankfurt region fails, processing moves automatically to the second EU region, Ireland. Processing by AWS is carried out in accordance with the AWS Privacy Notice. Project data is not used for training AI models (for Anthropic, in accordance with Anthropic’s commercial terms).
6.6 The Customer may request the deletion of their personal data at any time in accordance with Art. 32 DSG. The Provider will comply with this request, provided there are no statutory retention obligations.
7. Liability
7.1 The Provider is liable without limitation for damages attributable to intent or gross negligence.
7.2 In the case of slight negligence, the Provider is only liable for breach of material contractual obligations and limited to the foreseeable damage typical for the type of contract. Liability is limited in amount to the amount paid by the Customer in the last 12 months.
7.3 Liability for indirect damages, consequential damages, lost profits and data loss is excluded to the extent permitted by law.
7.4 The Provider is not liable for disruptions or outages caused by force majeure, disruptions to the telecommunications infrastructure or other circumstances beyond the Provider's control.
8. Warranty
8.1 The Provider warrants the fundamental functionality of the platform in accordance with the current service description.
8.2 Defects will be rectified within a reasonable period after being reported by the Customer. The Provider provides a support system via email.
8.3 The warranty does not extend to errors caused by improper use, unsupported browsers or interventions by the Customer in the platform.
9. AI Results and Disclaimer
9.1 The analyses, position extractions and calculations generated by artificial intelligence constitute auxiliary tools and do not replace expert review by the Customer.
9.2 The Provider does not guarantee 100% accuracy of AI results. Due to the nature of artificial intelligence, inaccuracies, errors or deviations may occur.
9.3 The Customer is obligated to independently review and verify all AI-generated results before use (in particular before creating and sending quotations).
9.4 The Provider is not liable for damages arising from the unverified adoption of AI results.
9.5 The Provider continuously strives to improve AI accuracy but cannot guarantee a specific accuracy rate.
9.6The AI-powered results of the platform expressly do not constitute professional expert advice, engineering services, technical planning or binding calculations. The Customer bears sole responsibility for the professional review and approval of all results. Use of the platform does not relieve the Customer of their duty of care as a specialist. In particular, for safety-relevant insulation work (e.g. fire protection), verification by qualified specialists is mandatory.
10. Right of Withdrawal
10.1 For consumers within the meaning of the Swiss Code of Obligations, a right of withdrawal of 14 days from the date of contract conclusion applies in accordance with Art. 40a et seq. OR (Swiss Code of Obligations). No reason needs to be given for the withdrawal.
10.2 The withdrawal must be declared in writing (by email to info@isocalcx.ch or by post) to the Provider. Timely dispatch of the withdrawal declaration is sufficient to meet the deadline.
10.3 In the event of timely withdrawal, payments already made will be refunded within 14 days. If the platform was already used during the withdrawal period, the Provider may retain a reasonable compensation for the services rendered until the withdrawal.
10.4 The right of withdrawal expires prematurely if the Customer has expressly agreed that the Provider should begin performing the service before the withdrawal period expires, and the Customer has simultaneously confirmed their awareness that this consent results in the loss of their right of withdrawal.
11. Contract Duration and Termination
11.1 The contract begins with the Customer's registration and acceptance of these Terms of Service.
11.2 The term depends on the subscription selected: a monthly subscription renews automatically for a further month, an annual subscription for a further 12 months. There is no separate notice period. The Customer may cancel at any time directly via the Dashboard; the cancellation takes effect at the end of the current term already paid for and prevents the automatic renewal. Access remains unchanged until that point in time; in the case of ordinary cancellation, no pro-rata refund of amounts already paid is granted. The contractual commitment therefore results solely from the term selected.
11.3 Alternatively, cancellation may also be declared by email to info@isocalcx.ch.
11.4 The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular when:
- The other party repeatedly breaches material contractual obligations despite a formal reminder
- Insolvency proceedings are opened against the assets of the other party
11.5 After contract termination, the Customer has 30 days to export their data. The Provider will provide appropriate export functions for this purpose. After this period, the data will be deleted in accordance with the Privacy Policy.
12. Data Processing
12.0 Roles: The Provider acts as a data processor within the meaning of Art. 9 revFADP and Art. 28 GDPR. The Customer is the controller for the data uploaded by them and remains responsible for the lawfulness of data processing as well as for the fulfilment of information obligations vis-a-vis the data subjects. The Provider processes Customer data exclusively on instructions and within the scope of the contractually agreed service.
12.1 In the course of using the platform, documents uploaded by the Customer (in particular specification documents as PDF) are processed for automated AI analysis. This processing is carried out exclusively for the purpose of the contractually agreed service (position extraction, calculation and quotation generation).
12.2 The documents and data extracted therefrom are stored on servers in Switzerland and/or the EU. For the AI evaluation of uploaded tenders, the content to be analysed is additionally transmitted to Anthropic PBC in the USA (section 12.3). The Provider ensures that all data centers used meet the requirements of the Swiss Federal Act on Data Protection (DSG).
12.3 For the AI-powered analysis of specification documents, the Provider uses Claude Sonnet 5.5 via the Anthropic API. Relevant content from uploaded documents (pre-filtered PDF extract) is transmitted in encrypted form to Anthropic PBC in the USA, on the basis of the Standard Contractual Clauses (SCC) or a recognised adequacy framework. The chat/support assistant, photo evaluation and price list import run via AWS Bedrock (EU Frankfurt, failover region Ireland); this processing does not leave the EU even in the failover case and is carried out in accordance with the AWS Bedrock Data Processing Terms. Customer project data is not used for training AI models (for Anthropic, in accordance with Anthropic’s commercial terms).
12.4 The Provider does not disclose personal data and project data of the Customer to third parties unless this is necessary for the provision of the contractually agreed service (e.g. payment processing via Stripe, email delivery via Brevo, AI evaluation of tenders via Anthropic PBC (USA), other AI functions via AWS Bedrock EU). The sub-processors used are listed in the Privacy Policy.
12.5 Temporary processing data (e.g. AI intermediate results) is automatically deleted after the analysis is completed. Only the final results confirmed by the Customer are permanently stored.
12.6 The Customer may request the deletion of their project data at any time via the platform or in writing to info@isocalcx.ch.
12.7 Data Processing Agreement (DPA): By accepting these Terms of Service, the Customer simultaneously concludes the Data Processing Agreement pursuant to Art. 9 revFADP / Art. 28 GDPR. The DPA may be viewed and downloaded on the platform at any time and forms an integral part of the main contract. In the event of discrepancies between the Terms of Service and the DPA, the more specific provisions of the DPA shall prevail.
12.8 Change of Sub-Processors: In the event of a planned change or addition of a sub-processor, the Provider shall inform the Customer at least 30 days in advance by email or via the platform. The Customer has the right to object in writing to the planned change for important data protection reasons. In the event of an objection and failure to reach agreement, both parties shall have an extraordinary right of termination effective at the date the change takes effect. The current list of sub-processors is available in the Privacy Policy and in the DPA.
13. Changes to the Terms of Service
13.1 ISOCALCX reserves the right to amend these Terms of Service at any time, in particular in the event of changes to the legal situation, platform functionality or business conditions.
13.2 Changes will be communicated to users by email at least 30 days before taking effect. The notification will include a summary of the material changes and the date of entry into force.
13.3 If the Customer does not object to the amended Terms of Service within 30 days of receipt of the notification, the amended Terms of Service shall be deemed accepted.
13.4 If the Customer does not accept the amended Terms of Service, they have an extraordinary right of termination effective at the date of entry into force of the changes. Termination must be declared in writing via isocalcx.ch/kontakt. Advance payments already made for the period after the termination takes effect will be refunded on a pro-rata basis.
14. Final Provisions
14.1 Swiss law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of law provisions.
14.2 The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Frauenfeld TG, Switzerland. Mandatory statutory places of jurisdiction remain reserved.
14.3 Should individual provisions of these Terms of Service be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
14.4 The Provider is entitled to transfer rights and obligations under this contract to third parties, provided this does not impair the Customer's rights.
